WELLFD RESTAURANT PARTNERSHIP AGREEMENT

Effective as of Agreement Date

1. PURPOSE AND SCOPE

1.1 Platform Description: wellfd is a curated restaurant discovery platform connecting members with local restaurants in Northern Kentucky through reviews, ratings, and exclusive member deals.

1.2 Partnership Objective: This Agreement establishes the terms under which Restaurant will be featured on the Platform and may offer exclusive deals to wellfd members.

Light Engagement - Perfect for restaurants wanting to test vouchers and events

Everything in wellfd Verified, plus:
1 active voucher at a time (QR-based)
Up to 2 events per month in community calendar

Eligible for rotating news-driven newsletter features (1 per quarter when newsworthy)

3. RESTAURANT OBLIGATIONS

3.1 Accurate Information: Restaurant agrees to provide and maintain accurate information including hours, location, contact info, menu items, and photos.

3.2 Information Updates: Restaurant will notify wellfd within 48 hours of any changes.

3.3 Deal Fulfillment: Restaurant agrees to honor all active member vouchers according to voucher terms.

3.4 Customer Service: Restaurant agrees to treat voucher users with the same respect as all customers.

4. EXCLUSIVE MEMBER DEALS

All vouchers are subject to wellfd's standard terms:

30-day expiration from date of claim
One voucher per person per visit
Non-transferable and no cash value
Must be presented before ordering
Cannot be combined with other offers

5. FOUNDING PARTNER STATUS (Limited Availability)

5.1 Eligibility: Founding Partner status is available to early restaurants that sign any paid tier agreement during the founding period.

5.2 Founding Partner Benefits:

Exclusive "Founding Partner" badge displayed on restaurant profile
10% discount on subscription pricing for the first year
Locked-in founding pricing for life
Permanent recognition as an early supporter
Special mention in marketing materials

5.3 Badge Retention: Founding Partner badge status is retained as long as Restaurant maintains an active paid subscription with wellfd.

6. TERM AND TERMINATION

6.1 Term: This Agreement continues on a month-to-month basis.

6.2 Termination: Either party may terminate with 30 days' written notice.

6.3 Effect of Termination: Outstanding vouchers remain valid through expiration date.

7. LIABILITY AND INDEMNIFICATION

7.1 Restaurant Liability: Restaurant is solely responsible for food quality, safety, health compliance, and employee conduct.

7.2 Limitation: NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
