1. Acceptance of Terms
Welcome to wellfd.com ("wellfd," "we," "us," or "our"). By accessing or using our website, mobile application, or related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.
2. Description of the Platform
wellfd is a restaurant discovery platform that connects members with a curated selection of locally owned restaurants. The Platform may include restaurant profiles, maps, reviews, ratings, events, vouchers, limited-time offers, and other discovery tools provided by participating restaurant partners.
wellfd does not operate restaurants and does not provide food or dining services.
3. Eligibility
You must be at least 18 years old to create an account and use certain features of the Platform. By using the Platform, you represent and warrant that you meet this requirement.
4. User Accounts
4.1 Registration
To access certain features, you must create an account and provide accurate, current, and complete information.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4.3 Account Suspension or Termination
We may suspend or terminate your account at any time if we believe you have violated these Terms, engaged in fraudulent activity, or misused vouchers or platform features.
5. User Conduct
You agree not to:
- Use the Platform for any unlawful purpose
- Attempt to gain unauthorized access to the Platform or related systems
- Harass, abuse, or harm other users or restaurant partners
- Post false, misleading, or defamatory content
- Copy, sell, or exploit any portion of the Platform without permission
- Use automated systems (bots, scrapers, crawlers) to access the Platform
- Create multiple accounts to abuse vouchers or offers
- Share, sell, or transfer vouchers in violation of their terms
6. Vouchers, Deals, and Limited-Time Offers
6.1 Voucher Terms
All vouchers and limited-time offers are subject to the specific terms displayed at the time they are claimed or presented. Expiration dates, quantity limits, and eligibility rules may vary by offer.
6.2 No Cash Value
Vouchers have no cash value and cannot be redeemed for cash or credit.
6.3 Redemption and Restaurant Discretion
Voucher redemption is subject to verification by the participating restaurant. Restaurants may decline redemption if the voucher is expired, already redeemed, or does not meet the stated terms, in accordance with applicable law.
6.4 Non-Transferable
Vouchers are non-transferable and tied to the account that claimed them.
6.5 Fraud and Abuse
wellfd reserves the right to deactivate vouchers, limit access to features, or suspend accounts in cases of suspected fraud, abuse, or misuse.
7. Restaurant Partners
7.1 Independent Businesses
All restaurants listed on the Platform are independently owned and operated. wellfd does not own, manage, or control any restaurant.
7.2 No Responsibility for Restaurant Services
wellfd is not responsible for food quality, service, pricing, availability, food safety, allergens, or the overall dining experience.
7.3 Disputes
Any disputes regarding restaurant service, voucher acceptance, or dining experiences must be resolved directly with the restaurant. wellfd does not mediate disputes.
8. Content and Intellectual Property
8.1 Platform Content
All Platform content, including text, graphics, logos, images, software, and design elements, is owned by wellfd or its licensors and protected by intellectual property laws.
8.2 User-Generated Content
By submitting reviews, ratings, photos, or other content, you grant wellfd a worldwide, non-exclusive, royalty-free, perpetual license to use, display, reproduce, modify, and distribute such content in connection with the Platform.
8.3 Content Moderation
We reserve the right to remove or restrict any content that violates these Terms or is otherwise objectionable.
9. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We do not guarantee that restaurant information (including hours, menus, prices, or availability) is accurate or current. We do not warrant uninterrupted or error-free operation of the Platform.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WELLFD SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO:
- Use or inability to use the Platform
- Unauthorized access to systems or data
- Errors or omissions in Platform content
- Conduct of restaurant partners or other users
- Food-related illness, allergies, or adverse reactions
IN NO EVENT SHALL WELLFD'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO WELLFD IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR $100, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify and hold harmless wellfd and its officers, directors, employees, and agents from any claims, damages, liabilities, or expenses arising from your use of the Platform or violation of these Terms.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted with an updated effective date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
13. Termination
We may suspend or terminate access to the Platform at any time, with or without notice, for any reason, including violation of these Terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Kentucky, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Kenton County, Kentucky.
